1 · Acceptance of Terms
By accessing or using www.latticetalk.ai (the “Site”) or any AI assistant, chatbot or related analytics service provided by LatticeTalk Inc. (“LatticeTalk,” “we,” “us,” “our”), you agree to these Terms & Conditions (“Terms”). If you do not agree, do not use the Site or Services.
2 · About LatticeTalk Inc.
LatticeTalk Inc. is a corporation incorporated in the State of Wyoming, USA. We offer managed-service AI Assistants (“Assistants”) and professional services to train, deploy and maintain those Assistants for customers (“Subscribers”).
3 · Eligibility & Permitted Use
- You must be at least 18 years of age (or the age of majority in your jurisdiction) to enter into these Terms.
- You may use the Services only for lawful purposes and in compliance with all applicable laws, including FERPA, HIPAA, ADA, CCPA and PCI where relevant to your organisation.
4 · Subscription, Billing & Managed Service
- Assistants are sold on a subscription basis (monthly or annual).
- Unless otherwise agreed in writing, subscriptions auto-renew at the then-current rate. You may cancel auto-renewal with 30 days’ written notice before the renewal date.
- Fees are non-refundable except as required by law.
- Failure to pay may result in suspension or termination of Service and deletion of stored data after 30 days.
5 · Ownership & Training Data
- You retain all rights to customer-provided content (“Input”) and grant LatticeTalk a non-exclusive licence to use the Input for the purpose of providing and improving the Services, including model fine-tuning and analytics.
- LatticeTalk owns all right, title and interest in and to any machine- learning models, derivative works, analytics, and aggregated usage data generated while providing the Services.
- LatticeTalk may anonymise and aggregate logs across customers to improve model quality; anonymised data will not identify you.
6 · Logs & Analytics
All chat messages, metadata and interaction logs are stored securely and may be surfaced to Subscribers in dashboards or reports. Logs are retained for the duration of the subscription and up to 12 months thereafter, unless a shorter retention window is agreed in writing.
7 · Disclaimer of Warranties
The Services are provided “as is” and “as available.” AI outputs may be inaccurate (“hallucinations”). Subscribers are responsible for human review of mission-critical answers. LatticeTalk disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and accuracy.
8 · Limitation of Liability
To the maximum extent permitted by law, LatticeTalk and its owners, officers and employees shall not be liable for indirect, incidental, special, consequential or punitive damages, or loss of profits, data or goodwill, even if advised of the possibility. Our aggregate liability shall not exceed the amount you paid to LatticeTalk in the 12 months preceding the claim.
9 · Indemnification
You agree to defend, indemnify and hold harmless LatticeTalk and its owners from any third-party claim arising out of: (a) your content, (b) your use of the Services in violation of law, or (c) your breach of these Terms.
10 · Governing Law & Venue
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Any dispute shall be resolved exclusively in the state or federal courts located in Wyoming, USA.
11 · Termination
Either party may terminate the subscription for material breach if the breaching party fails to cure within 30 days of written notice. Sections regarding Ownership, Logs, Disclaimers, Limitation of Liability, Indemnity and Governing Law survive termination.
12 · Changes to Terms
We may modify these Terms with 30 days’ prior notice posted on this page. Continued use after changes become effective constitutes acceptance.

1 · Information We Collect
- Chat Content & Logs — full transcripts, metadata (timestamps, user agent, IP, language, etc.) collected for analytics and service improvement.
- Account / Billing Data — name, e-mail, address, payment method.
- Technical Data — cookies, device identifiers, browser type, referring URLs.
2 · How We Use Information
- Deliver and operate AI Assistants and managed services.
- Generate usage analytics dashboards for each Subscriber.
- Improve model accuracy through aggregate, anonymised training.
- Detect, prevent and mitigate fraud, abuse or security threats.
- Send service-related notices and account-level marketing (you may opt-out of marketing at any time).
3 · Legal Bases (EEA & UK)
We rely on contract necessity, legitimate interests, consent (where required) and compliance with legal obligations.
4 · Sharing & Sub-processors
We use reputable cloud providers and analytics vendors that process data strictly under our instructions and are bound by data-processing agreements. A list of sub-processors is available upon request.
5 · Data Retention
Chat logs are retained for the duration of the subscription plus up to 12 months, then securely deleted or anonymised, unless legal retention obligations require otherwise.
6 · Security
LatticeTalk implements industry-standard encryption in transit and at rest, principle-of-least-privilege access controls and regular security reviews.
7 · Your Rights
Depending on your jurisdiction you may have the right to access, correct, delete, port or restrict processing of your personal data. Please e-mail info@latticetalk.ai.
8 · Children’s Privacy
We do not knowingly collect personal data from children under 13. If you believe such data has been collected, contact us for deletion.
9 · International Transfers
If you access the Services from outside the United States, you understand that your information may be processed in the United States where privacy laws may differ.
10 · Changes to This Notice
Material updates will be posted here. Continued use after the effective date constitutes acceptance.
